1. Code of Conduct – PanzerGlass

PanzerGlass A/S strives to operate our business in a responsible manner and we encourage our suppliers to do the same.
PanzerGlass追求以负责任的方式来开展业务并且鼓励我们的供应商也一并努力。
The purpose of this CoC is to ensure an ethical and fair business of all parties and people involved. We believe, that a strong focus on how to conduct responsible business will ultimately benefit all parties and countries – both economically and socially and finally contribute to further development of business.
制定本行为准则的目的是确保各方及相关人员之间的业务往来合乎道德且保有公平。我们相信,把以负责任的方式开展业务作为一个工作重心,最终将使各方以及各国在经济、社会发展上受益,并最终将有助于业务的发展。
In 2017 PanzerGlass will start implementing this CoC. We will strive to ensure that our suppliers in tier one live up to the standards we outline and we will guide them the best way we can to live up to these standards. We will use 2017 and 2018 for implementation and information to our suppliers in how they will live up to standards. Moreover, in 2018 we will implement supplier audits where our internal quality control will talk to suppliers and follow up in their production, sub suppliers, stock and CoC.

This CoC contains requirements that we expect our suppliers to strive to live up to. We also expect our suppliers to have a relevant business policy and appropriate management systems to ensure compliance with our CoC.

In general, we encourage our suppliers to promote responsible production and business practice. This to be able to live up to the ten principles from UN Global Compact and to promote sustainable and responsible production of products. Moreover, it is to ensure that all employees that are involved in the production of our products are treated properly and with respect.

In the future, our suppliers should strive to ensure that their sub suppliers are informed about this CoC and that they strive to live up to the principles.

It is our suppliers’ responsibility that the content of this CoC is actively communicated to the employees and that the content is understood. This can be done e.g. via internal notices in the company.

2. THE 10 PRINCIPLES – UN GLOBAL COMPACT

HUMAN RIGHTS 人权 Principle 1: Businesses should support and respect the protection of internationally proclaimed human rights; and
原则1:对于国际公认的人权的保护,企业应当给予支持和尊重。 Principle 2: make sure that they are not complicit in human rights abuses.

3. HUMAN RIGHTS人权
The labour force is the foundation of any business and therefore PanzerGlass A/S and our suppliers must respect international human rights and labour rights and strive to live up to the standards as expressed in the International Bill of Human Rights. Moreover, we expect that all suppliers take the necessary steps to avoid involvement in human rights violations in their countries of operation.

3.1 Safe and healthy work environment

• PanzerGlass and our suppliers strive to ensure safe and healthy work conditions for all employees

• PanzerGlass A/S and our suppliers strive to prevent work related illness, accidents and injuries

• PanzerGlass A/S and our suppliers should ensure that all employees have favourable working conditions no matter where in the world they are employed

• PanzerGlass A/S and our suppliers should have high work environment standards and we expect all employees to actively take part in this – we also expect the same for our business partners

• Employees should not be victim of physical punishment, threats of violence or other forms of physical or psychological abuse

• Employees should have the freedom of speech and the opportunity to express their dissatisfaction with their working conditions in an open and honest manner

3.2 Food, water, toilet/bath and housing facilities
食物、饮水、卫生间/洗浴以及住房设施
• Employees must have easy access to food, sanitary food storage and fresh clean potable water
雇员应当有便捷的方式获得食物、卫生的食物储存以及干净便携的饮水。
• Employees should have toilet and bath facilities

雇员应当有卫生间及淋浴设施
o Preferable toilet/bath facilities for men and women are separated
卫生间和淋浴设施做男女区分较为适宜。
• If the labour force is living/sleeping at the production sites or nearby facilities the housing facilities must live up to national standard living facilities
如果雇员是在生产场所或附近场所生活或睡眠,该住房设施应当符合国家住房标准。
3.3 Salary, remuneration and leave
薪资、报酬以及假期
• Employees should be offered fair and competitive compensation. Wages must, at least, satisfy the basic needs of the employees and their families in all countries and live up to the minimum requirements of national law and business standards whichever is higher
雇员应当获得公平且有竞争力的薪酬。所有国家的薪资最低应当满足雇员及其家庭的基本生活并符合该国法律和业务标准中两者最低要求的孰高者。
• All employees should prior to the employment receive written and easy understandable information about compensation conditions and paydays – this is often stated in the employment contract
所有雇员应当在形成雇佣关系前获得关于劳动报酬以及薪酬发放日的简易明了的书面信息。此类信息通常在劳动合同中载明。
• Employees are entitled to sickness leave and maternity leave in accordance with local legislation
雇员根据当地法律规定享有病假、产假。

3.4 Working hours
工作时间
• Working hours of a normal working week may not exceed 48 hours and with overtime included it may not exceed 60 hours. Overtime should be planned in a way to ensure safe and humane working conditions. Employees may work more than 60 hours per week if they freely wish to do so and if local legislation permit it.
通常一周的工作时间不应超过48小时,如果包含加班则每周不应超过60小时。加班应当预先计划并确保雇员拥有安全及人道的工作条件。雇员自愿且符合当地法律规定的前提下,每周工作时间可以超过60小时。
• Working days must always comply with local legislation and employees are entitled to at least one day off a week
工作天数必须准守当地法律规定,雇员享有每周至少一天休息的权利
3.5 Discrimination
歧视
• PanzerGlass and our suppliers are not allowed to discriminate employees, customers or others in the supply chain on the basis of race, skin colour, gender, language, religion, political or other beliefs, age, disability, nationality, social or ethnic background, financial circumstances, sexual orientation, origin or other status recognized by international law
PanzerGlass 以及我们的供应商不得因种族、肤色、性别、语言、宗教信仰、政治信仰、其他信仰、年龄、残疾、国籍、社会背景、民族背景、财务状况、性取向、血统或国际法认可的其他状态而歧视雇员、客户或在供应链中的其他各方。
3.6 Privacy

• PanzerGlass and our suppliers must respect the right to privacy of their employees and customers
PanzerGlass以及我们的供应商应当尊重其雇员及客户的隐私权。
• Suppliers have access to PanzerGlass’ products and data through the collaboration and during the supplier process. We expect our suppliers and sub suppliers to maintain an appropriate level of security in the prevention of unauthorised access. This is to prevent damage, misuse, distribution or removal of critical important information in relation to our products and this applies to both external persons and individual supplier’ employees.

4. LABOUR STANDARDS劳动标准
Our people are our greatest asset and they are the ones who makes it possible for us to run our business. We strive to ensure the best possible labour standards and we set the bar high in terms of employment standards for our employees. We also expect our suppliers to treat their employees with respect and strive to live up to the statements

4.1 Child labour, modern slavery, forced labour and freedom of movement
童工、现代奴隶、强制劳动以及迁徙自由
• We do not use nor do we accept the use of child labour, directly or indirectly, and in case this is found we will end the cooperation with the supplier immediately. In general, children should not work until they are above the compulsory school age. The minimum age for full-time employment is 15 years (or 14 years should local legislation permit it). Employees who are younger than 18 years old must not carry out hazardous work or work at night, regardless the number of hours they work. The minimum age for light work/after school work (that does not interfere with a child’s education) is 13 years of age (or 12 years should legal local legislation permit it).

• Regarding all types of work, the young age of an employee should be taken into consideration when planning and organising work tasks, work hours and workloads

• We do not use nor accept any kind of use of modern slavery and in case this is found we will end the cooperation with the supplier immediately
我们不会使用或接受他人使用任何形式的现代奴役,一旦发现,我们将立刻与该等供应商解除合作。
• Forced or bonded labour – directly or indirectly – in any kind of work or service performed involuntarily under the threat of penalty. Employees must always have the right to freedom of movement during their employment.
不在任何形式的非自愿工作或服务中,直接或间接在惩罚的威胁之下使用强制或绑架劳工。雇员在其受雇期间应当始终享有迁徙自由的权利。
• PanzerGlass A/S and its suppliers must not withhold personal documents, work permits or salaries of their employees
PanzerGlass 以及其供应商不得扣留雇员的个人身份证件、工作许可或薪酬。

4.2 Freedom of association and right to collective bargaining
结社自由以及集体谈判的权利
• PanzerGlass A/S and our suppliers must acknowledge and uphold the freedom of association and the right to collective bargaining. In countries or situations where freedom of association and collective bargaining is restricted by local legislation, suppliers must recognise that employees can exercise their freedom of association and collective bargaining
PanzerGlass以及我们的供应商应当认可及支持结社自由以及集体谈判的权利。在结社自由以及集体谈判受到当地法律限制的国家或状态下,供应商应当认可雇员可以实施他们结社自由以及集体谈判的权利。
4.3 Diversity

4.4 Discrimination

• When recruiting people and during employment PanzerGlass A/S and our suppliers must not discriminate based on; race, skin colour, gender, language, religion, political or other beliefs, age, disability, nationality, social or ethnic background, financial circumstances, sexual orientation, origin or other status – either directly or indirectly

5. ENVIRONMENT 环境
The environment is key and all businesses should strive to comply with environmental legislation to protect the environment. A poor environment creates poor living and working conditions that can serve damages to the local community and the labour force and within a short period of time harm businesses.
环境至关重要,所有企业应当致力于遵守环境法律法规以求保护环境。恶劣的环境将导致恶劣的生活及工作条件并将造成对当地社区以及劳动人员的损害,同时也将很快祸及企业自身。
5.1 Environment – suppliers should strive to:

• Reduce the amount of waste and emissions into the air, ground and water

• Handle chemicals in an environmentally responsible way

• Handle, store and dispose hazardous waste in an environmentally responsible way

6. ANTI-CORRUPTION反腐败
PanzerGlass A/S and our suppliers must strive towards a business where corruption is eliminated hence extortion and bribery in some countries are still in 2017 normal practise. In general, all forms of corruption, extortion and embezzlement are strictly prohibited and supplier must understand that such activities may result in immediate termination of the business relationship, communication to relevant authorities and organisations as well as legal actions.

• All employees are encouraged to inform management in case they are offered bribery in any form and it will be addressed by management
